WEBSITE: Technical support issued a statement a short while ago that the website is going to be down for 36 to 48 hours while they migrate their data to a secure server. We will notify you when they inform us that the website is up and running again.
OFFICIAL STATEMENT:
Because we as a community could not find any precedent as to how an offshore collateral lending company would be legally viewed in the USA, nor were we aware of any circumstance that would prevent us from participating, nor had anyone presented the concept that those who referred someone to a collateral lending company would be viewed as marketing the sale of an unregistered security, Profitable Sunrise has successfully been operating in the USA since 2009 with no complaint or conflict.
It has now come to our recent attention that Profitable Sunrise has been determined by the SEC to be a Security, evidenced by the recent "Temporary Cease and Desist Order" issued by the SEC in the state of North Carolina. As a result, all of us who are Participants are said to have been "offering for sale an unregistered security" when we have invited our family and friends into the Program. This is a violation of SEC Regulation, and any further activity could subject us to contact by the SEC along with potential fines.
The leadership of our community had already made the decision weeks earlier to close our community before any of these issues surfaced, and had already had agreed that we would be moving forward as a closed, private group.
In order to demonstrate our commitment to be fully compliant with this recent ruling and SEC Regulations, we promptly enacted our decision to close our community to new participants, and terminate our future marketing relationship with Profitable Sunrise.
We respect the State of NC for wanting to protect its citizens, as is evident from our decision to close our community to new members while the inquiry is still active.
To further comply, we are asking that no existing community participant make a new deposit into the Profitable Sunrise Program until further notice. Any attempt to circumvent this new Directive will be dealt with in an appropriate way by Nanci. Furthermore, any Participant trying to add a New Deposit is in Violation of current SEC Regulations, and again, could be subject to censure and fines by the SEC.
The entire NJF Global Group has been, and always will be, committed to operating with full integrity, and this includes abiding by existing regulations relating to any Program we are involved with. Our focus will continue to be our 501(c) 3 Charity, FocusUp Ministries.
ARE THE "WARNINGS" ISSUED IN ALABAMA AND CANADA THE SAME AS A "CEASE & DESIST"?
No, Alabama is only issuing a warning to its citizens to be wary of Profitable Sunrise.
IS THIS SIMILAR TO WHAT HAPPENED IN NC TO ZEEK REWARDS?
No, not at all. In this situation, it was the NC Secretary of State who asked Roman to communicate with them and to properly get registered in their state.
I HAVE HEARD THAT SOME PARTICIPANTS HAVE BEEN ISSUED A SUBPOENA AT THE REQUEST OF THE SEC. IS THIS TRUE?
Yes. At the request of the SEC, several participants have been, or are being, issued subpoenas requiring them to appear before a judge and to provide any information regarding their relationship with, and participation in, Profitable Sunrise.
Therefore, it is important to fully comply with our new community policies and all SEC regulations, to terminate all further marketing activity with Profitable Sunrise.
WAS THE DECISION TO CLOSE OUR COMMUNITY TO NEW MEMBERS SOLELY DUE TO THE NC CEASE & DESIST ORDER?
No. This action was in the works for a long time. Nanci spoke with Roman over a month ago about closing the NJF Global Group community when it reached 30,000 visitors.
Fast forward in time, and the group has grown to over 76,000 visitors.
Can't be "SuperMom" (LOL)! Nanci realized that the time had come to stop being a "SuperMom". Do you remember the nursery rhyme "There was an old woman who lived in a shoe, she had so many children, she didn't know what to do"? Well, Nanci's rhyme would go like this: "There is young woman who loves serving you, but she has so many children there is no time to snooze"! J ).
Nanci is now facilitating a transition of administrative duties for future projects to key leaders so she can FocusUp J on Ministry.
WHY THE NEW NAME "GLOBAL IMPACT RESOURCE ALLIANCE"?
Nanci is grateful to be surrounded by an amazing leadership team who has tirelessly given of their talents and resources in support of the community.
With her term expiring on March 5, she wanted to honor of that leadership resource with a new name that best describes the shift in leadership from one incredible "Mom" to a group of leaders of a global private group committed to making a world-wide impact by using our talents and resources together.
In this new group, leaders can share the administrative burden, take the reins, and guide their individual groups through the implementation of Nanci's vision, so that Nanci can "FocusUp" on Ministry J.
GIRA will focus on resource management education, to equip each group to diversify into different venues of resource management as determined by accomplished leaders.
WHAT ABOUT THE EXISTING MEMBERS?
The current members of Global Impact Resource Alliance will continue their participation as long as they comply with the New Directive that has been implemented within our group.
In these next few days, the website will be down to not only update the servers, but to update our community's back office to reflect our current policies and procedures.
